Business sale that includes a property

A business sale that includes a property can be two designated-service questions. The business contract and the land transfer are not one customer just because they settle together.

A law firm on a suburban business sale reads its own service, and the conveyancer or agency on the freehold reads theirs. One shared data room does not merge the CDD files. Each firm emails its own client a link when its program requires a check, and the client pays that check. Neither firm borrows the other's result unless its own program says how.

Two contracts, two programs

Business sale property AML matters go wrong when the headline is 'sale of business' and the land transfer is treated as a schedule. The buyer can be purchasing shares or assets, and also taking the freehold. A professional firm tests the service it was engaged to provide, and the firm assisting the land transfer tests that service. An agency, if there is one, tests its own.

Do not pass one CDD pack around the table and call it shared compliance. Another firm's result is information. It becomes your record only in the way your program allows. This page does not write that permission for you.

  • Name the limb. Business contract, land transfer, and any lease assignment are separate lines. One cover sheet is not one service.
  • Name the customer of your firm. The buyer of the business may not be the customer of the agency. Each program says who its customer is.
  • Do not reuse a check on hope. A company KYB for the law firm is not automatically the conveyancer's file. Send the link your program requires.
  • Watch the price story once. How the price is paid can matter to more than one firm. Each firm records what its own program asks. Nobody coaches a cleaner story.
