Parent company as beneficial owner: how far up the chain

A parent company is not the beneficial owner. You go up the chain until you reach the individuals who own or control the customer, or until you can record that no such individual is there.

Do not stop at the first Australian company above your client. If a parent sits over it, the parent is a waypoint, and the beneficial owners are individuals. Two people who own the parent can both be on the list. If nobody meets the ownership test and nobody controls the customer, write that you looked and found none, and do not invent a person to fill the box.

The parent is a step, not a person

Lawyers like a clean stop, and a holding company looks like one. It has an ACN, directors, and a register, and it is still a company. Beneficial owners, on the ownership limb, are the individuals who ultimately own the required share. On the control limb they are the individuals who control the customer, and a parent cannot be either of those by being a parent.

How far is 'until the individuals, or until you know there are none', and two layers is not a rule, and five layers is not a rule. You follow the holdings you are given, including a parent registered outside Australia. An ASIC extract of the Australian company that names only the parent is the start of that follow, not the end.   • Do not type the parent's name in the beneficial-owner box. Put the parent in the structure. Put individuals in the owner list.
  • There is no set number of layers. Stop at people, or at a recorded finding that no person meets the test.
  • Overseas parents are still parents. A foreign company above an Australian one is not a reason to stop early.
  • None is an answer you record. Widely held, no one at the ownership threshold, no controller. Write the look. Do not invent a name.
